FORT WORTH, TX, Sept. 27, 2019 – Mark B. Russell of SES ESOP Strategies spoke at the National Center for Employee Ownership’s Fall ESOP Forum on Sept. 17, 2019, in Salt Lake City, UT.
In “Structuring an Acquisition,” Mr. Russell discussed how, at a time when ESOP companies are actively buying other companies, they can best structure acquisitions to maximize financial effectiveness and transaction success.
Mr. Russell is head of the finance group at SES ESOP Strategies, a Stevens & Lee/Griffin Company, and a Senior Managing Director at Griffin Financial Group. He works with business owners to determine whether an ESOP is the right business transition/succession vehicle to achieve their specific goals and objectives. If it is, through modeling and financial analysis Mr. Russell helps them determine the appropriate structure to achieve their goals and objectives. He also assists in raising the financing for the ESOP transaction and/or to recapitalize the business. Once an ESOP has been established, he works with owners and management regarding second stage transactions, sustainability of the ESOP and the company, acquisition opportunities, financing strategies and potential sales of the ESOP owned company.

He has an LL.M. in Taxation, with distinction, from Georgetown University Law Center, an MBA from Texas Tech University School of Business, a J.D. from Texas Tech University School of Law and a BBA in Accounting from Texas Christian University.
